Terms & Conditions of Use for Baser ApS Products - Australia

TERMS & CONDITIONS OF USE FOR BASER ApS PRODUCTS – Australia

INTRODUCTION:

All products manufactured and/or sold by Baser ApS (“Baser”) to a consumer using the product within the territory of Australia (each, together with all third parties who use, come into contact with, or benefit from such Baser product, including, without limitation, the consumer’s family members, invitees, and agents, is a “customer”), whether sold directly or through an authorised distributor, are subject to these Terms & Conditions of Use for Baser ApS Products (these “Terms and Conditions”).

RISK AND ACCEPTANCE OF TERMS:

If any customer elects to continue using a Baser product after having had an opportunity to read these Terms and Conditions, then by such continued use, the customer acknowledges his, her, or its acceptance of and agreement to abide by these Terms and Conditions. Each customer agrees that he, she, or it uses the Baser product at his, her, or its own risk, except as otherwise provided by non-excludable statutory guarantees under the Australian Consumer Law.

If a customer does not agree to these Terms and Conditions, that customer must stop using the Baser product immediately. Customers in Australia are entitled to a refund, repair, or replacement, as applicable, under the Australian Consumer Law. For major failures, the customer is entitled to a refund or replacement, and compensation for reasonably foreseeable loss or damage. For minor failures, the customer may have the product repaired or replaced.

SAFETY INSTRUCTION & GENERAL SAFETY GUIDELINES:

The terms and conditions set forth in these Terms and Conditions incorporate by reference the user instructions included with the customer’s Baser product, and these Terms and Conditions supersede all other pre-printed purchase order terms and conditions that pertain to the subject matter of this document.

Before using your Baser product, carefully read the instructions found inside the packaging to avoid risk of product damage, property damage, and/or personal injury. Baser products must not be used for unintended purposes.

Follow the Baser product instructions and keep the instructions for future reference by saving the product insert or by visiting www.au.mybaser.com or www.mybaser.com.au. Continued use of a Baser product evidences the customer’s agreement to use the Baser product in compliance with the intended purposes described in the product information provided by Baser.

GENERAL SAFETY GUIDELINES:

The following guidelines must be followed to ensure safe use of Baser products. Please note that this is not an exhaustive list, and failure to follow these guidelines may void the warranty. Baser ApS accepts no responsibility for damages to property or personal injury resulting from improper installation, use, dismantling, or maintenance of any product sold or manufactured by Baser ApS. The following safety instructions must be followed:

  • Use Products Correctly: Only use Baser products as intended. Improper use, such as using a patio umbrella without proper weighting, may lead to product failure, injury, or damage.
  • Wind Conditions: Do not use or leave patio or cantilever umbrellas open in high winds or stormy conditions. Always close and secure umbrellas in windy weather and never leave them unattended.
  • Setup and Weighting: It is essential to properly weigh down umbrellas sufficiently to make them stable in the wind. Failure to do so may cause the umbrella to tip or collapse, causing injury or damage.
  • Product Alterations: Do not modify or alter Baser products in any way. Such alterations will void warranties and may result in injury or property damage for which Baser accepts no responsibility.
  • Supervision and Safe Handling: Never allow children to operate, assemble, or use Baser products. Adult supervision should always be provided during setup and handling of products.

Assembly

Ensure all parts are present in the package before assembly. If any parts are missing, refrain from assembling the product and contact us at [email protected]. We strive to respond within 24 hours.

Assemble the product on a soft, clean surface, away from sharp objects to prevent damage.

Do not use force or unauthorized tools during assembly, as this may damage the product.

Carefully follow the included assembly instructions for proper setup.

Specific Safety Guidelines for Sandbags / Weight Bags

Intended Use Only

Sandbags/weight bags are designed to stabilize cantilever umbrellas, central-pole umbrellas, trampolines, and other outdoor items. Baser ApS assumes no liability for damage caused by unintended use.

Product Restrictions

  • Always fully fill sandbags to the specified weight.
  • Securely close and fasten umbrellas or cantilever umbrellas in windy conditions.
  • Never leave umbrellas, cantilever umbrellas, or trampolines unattended in the wind.
  • Do not place sandbags near open flames.
  • Exercise caution when lifting or moving sandbags, as Baser ApS is not responsible for any health issues caused by improper handling.
  • Ensure the umbrella base or cantilever umbrella is securely locked and has sufficient weight to remain stable before use.
  • Always close the umbrella / cantilever umbrella before moving it.
  • Check annually that sandbags, weight bags, and associated equipment are fully functional.

Weather Precautions

  • In windy conditions or during winter, remove the umbrella and umbrella base/weight bags and store them indoors.
  • For trampolines, ensure proper disassembly or additional stabilization during strong winds or winter conditions. Note: Baser weight bags do not make trampolines stormproof.

Additional Applications

Sandbags may stabilize cantilever umbrellas, trampolines, or other objects but are not guaranteed to prevent displacement or damage in windy and/or extreme weather. Owners bear sole responsibility for securing such items.

Weight Guidelines

We suggest the following weight as indications, however, more can be required:

  • Cantilever Umbrellas:
    • Up to 2.8m (9ft): Minimum 80kg (180lbs)
    • Up to 3m (10ft): Minimum 100kg (220lbs)
    • Up to 3.5m (11ft): Minimum 150kg (330lbs)
  • Central-Pole Umbrellas:
    • Up to 2m (6.5ft): Minimum 25kg (55lbs)
    • Up to 2.8m (9ft): Minimum 30kg (66lbs)
    • Up to 3m (10ft): Minimum 40kg (88lbs) (Recommended: 50kg/110lbs for windy areas)
    • Up to 3.5m (11ft): Minimum 50kg (110lbs)
  • Trampolines: Minimum 100kg (220lbs); preferably 200kg (440lbs) or more.

Specific Safety Guidelines for Umbrella Bases / Umbrella Stands

Intended Use Only

Use the product solely for its stated purpose. Baser ApS assumes no liability for damage caused by unintended use, including but not limited to misuse of umbrellas or cantilever umbrellas.

Product Restrictions

  • The umbrella base is designed exclusively for central-pole umbrellas, NOT cantilever umbrellas.
  • Always fully fill sandbags to the specified weight.
  • Always place the umbrella base on a flat surface.
  • Securely close and fasten umbrellas or cantilever umbrellas in windy conditions.
  • Never leave umbrellas open in wind or unattended.
  • Do not place the umbrella base near open flames.
  • Exercise caution when operating the locking-ring to avoid finger injuries.
  • Ensure the umbrella base is securely locked and the umbrella is stable in the base before use.

Weather Precautions

In windy conditions or during winter, remove the umbrella and umbrella base/weight bags and store them indoors.

Additional Applications

Sandbags may be used to stabilize cantilever umbrellas, trampolines, or other objects. However, Baser ApS assumes no liability for damage or injury caused by objects displaced or broken due to wind. Owners bear sole responsibility for securing such objects.

Weight Guidelines

Do not exceed the recommended umbrella sizes and weights outlined below:

  • Up to 2m / 6.5ft: Minimum 25kg / 55lbs
  • Up to 1.25x2m: Minimum 25kg / 55lbs
  • Up to 2.8m / 9ft: Minimum 30kg / 66lbs
  • Up to 3m / 10ft: Minimum 40kg / 88lbs
  • Up to 2.5x2.5m / 8x8ft: Minimum 40kg / 88lbs
  • Up to 3.5m / 11ft: Minimum 50kg / 110lbs

Specific Safety Guidelines for Umbrellas / Cantilever Umbrellas

Intended Use Only

Use the product solely for its stated purpose. Baser ApS assumes no liability for damage caused by unintended use, including but not limited to misuse of umbrellas or cantilever umbrellas.

Product Restrictions

  • The umbrella / cantilever umbrella must be closed and firmly secured in windy conditions.
  • Always follow the specified weight requirements for each product, and note that more weight might be needed. Baser takes no responsibility for too little added weight.
  • Always place the umbrella / cantilever umbrella on a flat surface.
  • Securely close and fasten umbrellas or cantilever umbrellas in windy conditions.
  • Never leave umbrellas open in wind or unattended.

Weather Precautions

In windy conditions or during winter, ensure that the umbrella / cantilever umbrella is securely stable or store it indoors. Use a Baser cover to protect it from rain, sun, snow, or other external factors.

Weight Guidelines

  • Up to 2m / 6.5ft: Minimum 25kg / 55lbs
  • Up to 1.25x2m: Minimum 25kg / 55lbs
  • Up to 2.8m / 9ft: Minimum 30kg / 66lbs
  • Up to 3m / 10ft: Minimum 40kg / 88lbs
  • Up to 2.5x2.5m / 8x8ft: Minimum 40kg / 88lbs
  • Up to 3.5m / 11ft: Minimum 50kg / 110lbs
  • Cantilever Umbrellas:
    • Up to 2.8m / 9ft: Minimum 80kg / 180lbs
    • Up to 3m / 10ft: Minimum 100kg / 220lbs
    • Up to 2.5x2.5m / 8x8: Minimum 100kg / 220lbs
    • Up to 3.5m / 10ft: Minimum 150kg / 330lbs

SPECIFIC RISKS AND EXCLUSIONS:

Baser shall not be held responsible for any injuries, damage, or incidents that arise from the following, including but not limited to:

  • Failure to Properly Secure Products: Not weighting down the umbrella base sufficiently with appropriate weight bags.
  • Leaving Umbrellas Open During Wind or Bad Weather: Leaving patio or cantilever umbrellas open during windy conditions may cause them to fall, resulting in injury or damage.
  • Altering the Product: Modifying or making structural changes to the products without Baser’s authorization will void warranties and release Baser from all liability.
  • Incorrect Setup: Not following the instructions provided with the product or listed on Baser’s website may result in product damage or injury.

WARRANTY:

Baser warrants the performance of each Baser product for up to twenty-four (24) months following the date of purchase, provided that the product is used as intended by Baser, as indicated in the product instructions. This warranty applies only to the first owner.

This warranty does not cover, but not limited:

  • Normal wear and tear.
  • Misuse or unintentional use of the products.
  • Failure to maintain or store the product in accordance with the instructions.
  • Damage caused by weather conditions (e.g., wind, rain, hail, or extreme conditions).
  • Modifications or alterations to the product.

During the warranty period, any parts that, in the opinion of Baser, are subject to defects in design and/or materials, shall be repaired or reimbursed, as determined by Baser in its sole discretion.

Any claims under this warranty must be submitted through the Baser retailer from whom the product was purchased or directly to Baser via www.mybaser.com. Warranty claims must be accompanied by the allegedly defective product or photos thereof, together with proof of purchase. Baser may, at any time, demand that the customer ship the allegedly defective product to Baser for inspection. Shipment of the product to Baser shall be at the customer’s expense.

Baser’s repair or reimbursement of a customer’s product under this warranty shall not constitute an admission of liability by Baser or an assumption of responsibility by Baser for any damage or injury suffered in relation to such Baser product. Baser’s liability is limited to the warranty expressly granted in these Terms and Conditions of use. To the maximum extent available at law and in equity, this warranty excludes any and all liability for property damage and personal injury.

LIMITATIONS OF LIABILITY:

To the extent permitted by law, Baser disclaims all other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose, except for those required by the Australian Consumer Law. Baser’s liability is limited to the price paid for the product, and Baser shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or revenue.

Baser disclaims liability for, but not limited to:

  • Product misuse or failure to follow product instructions.
  • Using Baser products for unintended purposes.

PRODUCT MISUSE:

Customers assume all risks related to the misuse of Baser products. Baser is not liable for injuries or damages caused by, but not limited to:

  • Failure to follow instructions regarding product setup or maintenance.
  • Using Baser products for unintended purposes.
  • Using sandbags or weight bags with products other than Baser umbrellas.

INTELLECTUAL PROPERTY:

The Baser product contains or may contain trademarks, copyrighted information, trade names, service marks, logos, images, graphics, text, and other proprietary content (collectively, "IP"). All Baser IP remains the property of Baser. By purchasing or using a Baser product, customers do not acquire any rights to modify, reverse engineer, copy, or exploit Baser’s IP.

CUSTOMER MISUSE:

Customers agree to indemnify Baser and its officers, directors, employees, and agents against any claims arising from the misuse of Baser products.

GOVERNING LAW:

These Terms and Conditions are governed by the laws of Victoria, Australia, without regard to conflict of law principles. Any disputes arising from these terms will be subject to the jurisdiction of the courts of Victoria, Australia.

ARBITRATION:

By using a Baser product, customers agree that any dispute, controversy, or claim arising out of or related to these Terms and Conditions shall be resolved by arbitration in accordance with the Australian Centre for International Commercial Arbitration (ACICA) rules, unless the parties agree otherwise. Arbitration will take place in Victoria, Australia.
